Terms of Service

1. Scope of Application

These Terms of Service ("Terms") apply to all contracts between Noopex AI and the customer regarding the use of the platform for AI employer reputation intelligence.

2. Service Description

Noopex AI provides a platform to monitor and analyze how large language models (LLMs) such as ChatGPT and Gemini describe a company as an employer. The platform translates these narratives into structured, HR-ready reports.

The service includes observing AI-generated employer perceptions, comparing them with traditional sources (e.g., Glassdoor), and surfacing narrative drift, risk signals, and confidence context.

3. Contract Formation

The contract is formed by acceptance of Noopex AI's offer by the customer. Registration on the platform constitutes a binding offer by the customer.

4. Pricing and Payment Terms

Prices for using the platform are indicated on the website. All prices are in USD and include applicable value-added tax (VAT), unless otherwise stated.

Payment is due in advance for the selected billing period. In case of payment default, Noopex AI reserves the right to suspend access to the platform.

5. User Rights and Obligations

The customer is granted a non-exclusive, non-transferable right to use the platform for the agreed period. Sharing access credentials with third parties is prohibited.

The customer is responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.

6. Data Processing

Noopex AI processes publicly available information about employer brands. Reports remain private and access is controlled. Further details on data processing can be found in our Privacy Policy.

7. Intellectual Property

All content, features, and functionality of the platform, including but not limited to text, graphics, logos, and software, are the property of Noopex AI or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8. Limitation of Liability

Noopex AI shall only be liable for intent and gross negligence. In case of slight negligence, Noopex AI shall only be liable for breach of an essential contractual obligation, the fulfillment of which enables the proper execution of the contract and on the compliance with which the customer may regularly rely.

Liability for damages arising from injury to life, body, or health remains unaffected.

Noopex AI does not guarantee the accuracy, completeness, or timeliness of the information provided through the platform. The service is provided "as is" without warranties of any kind.

9. Termination

Either party may terminate the contract at any time with one month's notice to the end of the month. The right to extraordinary termination for important reasons remains unaffected.

Upon termination, the customer's access to the platform will be suspended, and all data associated with the account may be deleted in accordance with our data retention policy.

10. Changes to Terms

Noopex AI reserves the right to modify these Terms at any time. Material changes will be communicated to customers via email or through the platform. Continued use of the service after such changes constitutes acceptance of the modified Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by German law, excluding the UN Convention on Contracts for the International Sale of Goods. The place of performance and jurisdiction shall be the registered office of Noopex AI, provided that the customer is a merchant, legal entity under public law, or special fund under public law.

For customers who are consumers (not acting in the course of their trade or profession), the mandatory consumer protection provisions of their country of residence may apply.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
